Rights Issue Prospectus
A prospectus in relation to a renounceable right issue was publicly issued, and lodged with the Australian Securities and Investments Commission by Apex Minerals NL (Apex) on 30 September 2009. Eligible shareholders are entitled to subscribe for two new shares for every nine existing shares held at 5pm (Perth, Western Australia time) on the record date of 12 October 2009 at an issue price of $0.04 cents per new share to raise approximately A$108.6 million. Subsribers will also be issued with with one attaching option for every 10 new shares subscribed such options to be issued with a 3 year term and an exercise price of $0.06 cents. Only shareholders on the register on the record date with registered addresses in Australia or New Zealand are eligible to participate in the rights issue.
The number of shares that may be issued under the offer is approximately 2,714,578,362 subject to adjustment for any existing options that may be exercised prior to the record date and adjustments caused by rounding of entitlements. The rights issue is fully underwritten.
The funds raised from the rights issue will be primarily used as follows:
